Case
History
Subject:
Cooperative company operating, through several subsidiaries, in the
energy sector.
Situation:
Consistent investments due both to upgrading of technical equipment
and the purchase of strategic shareholdings; excellent relationship
with the banking system but heavy debtor exposure in relation to its
means.
Action:
Organized the emission
of cooperative shareholding stocks (the first significant
case in Italy), through an important Merchant Bank that promoted the
constitution of a Consortium for the Placement and Guarantee of the
stocks through primary Credit Institutes. The operation made it possible
to attract long term capital at low cost (the funds thus acquired do
not imply payment of interest but only shareholding in the growth of
value of the company); the reinforcement of the financial position of
the company was achieved without altering the position of the controlling
partners.
