Case History


Subject:
Manufacturer of composite materials with a high technological content.

Situation:
Possibility of a diversification of the product and consequent better position on the market, through the acquisition of a company branch in the sphere of a spin-off of a group operating in a complementary sector; the resources at the disposal of the purchasing company were about 20% of the amount needed for the transaction.

Action:
Set up with a primary Merchant Bank an operation of acquisition financing, through the creation of a Newco (new company) for which a credit line was organized in a pool for the duration of 7 years, assisted by a mortgage on the real estate assets of the company branch purchased; the additional resources necessary for coverage of the transaction were obtained by increasing the company share capital, which was placed through the same Merchant Bank with institutional investor; the operation on the capital did not, however, change the position of the controlling partners.
